Terms and Conditions
By placing an order with Roastar, buyer agrees to the terms and conditions below.
1. Applicability
By placing an order with Roastar.com, Buyer agrees to the following terms and conditions. These terms and conditions and any additional documents provided by Seller to Buyer or policies stated on this website constitute the entire agreement between the parties (the "Agreement"). For purposes of this Agreement, the term "Seller" shall mean Roastar.com and its affiliates. Buyer's failure to object in writing to this Agreement prior to Seller's commencement of any work or shipment of the goods described in the relevant purchase order, order acknowledgment or other documents shall constitute Buyer's acceptance of this Agreement. Any terms proposed by Buyer in any communication or document, including without limitation, preprinted terms on a purchase order, which modify, differ from or conflict with this Agreement shall not apply unless specifically agreed to in writing by Seller.
2. Pricing.
Quoted prices are effective for thirty (30) days, except that prices of materials (such as paper, ink, and adhesives) and outside services are subject to change at any time. Seller will notify Buyer of price changes.
3. Cancellations; Modifications.
Buyer must submit in writing any cancellation or modification of orders to Seller within 2 hours for stocked items or within 4 hours for custom items when the order was placed and prior to the approval of proofs. Buyer agrees to pay all costs (whether direct or indirect) incurred by Seller in connection with the order up to the date of termination or modification by Seller. In the event Buyer does not timely cancel or modify the order, Buyer will be responsible for the cost of the order in full.
4. Artwork and Graphics.
All dies, tooling, and other preparatory items, when fabricated or procured by Seller, shall remain the exclusive property of Seller, notwithstanding any expense or preparation fee charged to Buyer, and no use of the same shall be made by Buyer without the express prior written consent of Seller.
5. Buyer's Warranty and Indemnity.
Buyer warrants [AND REPRESENTS] that it is the legal owner or licensee of all information and materials submitted by or on behalf of Buyer to Seller, including artwork and graphics. Buyer further warrants that no information [OR MATERIALS] furnished to Seller for the product infringes any copyright [, TRADEMARK, TRADENAME, TRADE DRESS COPYRIGHTS, RIGHTS OF PRIVACY AND PUBLICITY, TRADE SECRETS] or other intellectual property rights of any person, [ENTITY OR THIRD PARTY,] is libelous or otherwise violates the rights of or causes damage to any person or entity, or constitutes a violation of any law. Buyer agrees to defend [SELLER, IMMEDIATELY UPON DEMAND FROM SELLER AND] at [BUYER’S] sole cost and expense, and to indemnify and hold Seller, its parent company, affiliates, employees, officers, agents, successors and assigns, harmless from any liabilities, expenses (including attorney's fees [AND COSTS TO DEFEND ANY CLAIM OR LAWSUIT BY A THIRD PARTY]) [AND/]or damages [(INCLUDING ATTORNEYS’ FEES AND/OR COSTS AWARDED TO A THIRD PARTY)] resulting from, any and all claims, demands, actions or proceedings that are asserted or instituted against Seller arising out of Buyer's breach of its warranties hereunder [OR FROM ANY CLAIM OF INFRINGEMENT OF COPYRIGHTS, TRADEMARKS, TRADENAMES, TRADE DRESS COPYRIGHTS, RIGHTS OF PRIVACY AND PUBLICITY, TRADE SECRETS OR ANY OTHER INTELLECTUAL PROPERTY RIGHTS, ] or any specification or items submitted by or on behalf of Buyer to Seller. Seller reserves the right, in its sole discretion, to refuse to produce any product that it deems illegal, libelous, scandalous, improper or infringing upon copyright law.
6. Technical Quality Tolerance.
Prior to placing an order, Buyer agrees to thoroughly review the ‘Technical Quality Tolerance’ documents to ensure the Buyer understands and agrees to our manufacturing tolerances. Packaging should be stored 40-80 degrees F at 30-60% relative humidity. Customer should test their products inside the packaging prior to placing a production order to ensure consumer product does not react with packaging. Ingredients such as alcohol, oil, and other additives may impact the integrity of package.
7. Quantity Tolerance for Standard Products.
We maintain a +/- 50 bag quantity tolerance level on our standard custom printed orders for an artwork file with a quantity under 1,000. This means Roastar will produce within a +/- 50 bag tolerance margin of your desired quantity for that artwork file.
We maintain a +/- 5% quantity tolerance level on our standard custom printed orders for an artwork file with a quantity of 1,000 or more. This means Roastar will produce within a 5% tolerance margin of your desired quantity for that artwork file.
The total number of bags printed and shipped will be reflected in your final payment. If we ship above your desired quantity, your remaining balance will be more. If we ship below your desired quantity, your remaining balance will be less.
Pre-defined templated items, tin cans, paper tubes, stickers, labels, and blank product lines do not have a quantity tolerance.
8. Quantity Tolerance for Specialty Products.
We currently maintain a +/- 10% tolerance level on our child-resistant stand-up pouch orders. This means Roastar will produce within a 10% tolerance margin of your desired quantity. The total number of bags printed and shipped will be reflected in your final payment. If we ship above your desired quantity, your remaining balance will be more. If we ship below your desired quantity, your remaining balance will be less.
We also currently maintain a +/- 10% tolerance level on our flat bottom pouches and bags made with compostable kraft material. This means Roastar will produce within a 10% tolerance margin of your desired quantity. The total number of bags printed and shipped will be reflected in your final payment. If we ship above your desired quantity, your remaining balance will be more. If we ship below your desired quantity, your remaining balance will be less.
9. Payment for Custom Printed Products.
Roastar requires 100% payment for orders (excluding Net 30 customers). After your order is complete and the final quantity (see quantity tolerance explained above) is determined, you will be charged for the additional bags or refunded for the non-produced bags. Your order will subsequently ship.
10. Payment; Taxes.
Unless otherwise agreed to in writing by Seller, payment of all invoices is due upon receipt. Buyer shall be responsible for all sales and similar taxes relating to each order (which, where applicable, will be added to the amount due from Buyer at the time of invoicing unless a valid exemption certificate is in the possession of Seller prior to the date of shipment). Seller has the right to suspend performance with respect to any outstanding order if and for so long as an invoice to Buyer remains unpaid beyond the applicable payment due date.
11. Shipping; Delivery; Shipping cost based on Volume.
Shipping dates are estimates only and are based upon the prompt receipt by Seller of any approved proofs, artwork, special materials, shipping instructions and other custom specifications needed for the production of the product. Seller shall not be liable for any delay or failure in the delivery of any product to Buyer caused by circumstances or events beyond the reasonable control of Seller. Shipping costs are based on a tiered system, outlined below:

Expedited shipping is available. Cost is calculated based on order weight and destination.
The buyer shall be responsible for taxes and duties relating to each order.
Roastar is unable to ship to Cuba (BIS), Iran (OFAC), North Korea (BIS), Sudan (OFAC) and Syria (BIS)
Roastar may have restrictions for orders shipping to Iraq, Kuwait, Lebanon, Libya, Qatar, Saudi Arabia, Syria and the United Arab Emirate
Roastar is not responsible for delayed delivery due to the carrier not meeting their delivery date. Orders are shipped to the address(es) supplied by the customer at the time the order is placed. Roastar is not responsible for incorrect shipping address(es) or missing delivery details. If fees from 3rd party carrier/freight services are incurred due to additional handling and/or incorrect destination information, Roastar is not responsible. Customer is subject to pay fees issued by 3rd party carrier/freight service.
12. Insurance.
Seller agrees to maintain at its expense insurance policies providing coverage, while in its care and custody and similar coverage from its subcontractors while items are under their care and custody, against loss or damage due to water, sprinkler leakage, fire, explosion, windstorm, civil commotion and other perils covered under its "extended coverage" property insurance policy: (i) all work which may be in process and (ii) all materials furnished by Buyer. All of the said insurance policies shall extend coverage to Seller and Buyer as their respective interests may appear. All creative work and Buyer-owned finished goods that is stored with Seller is stored at Buyer's risk, and Buyer is responsible for obtaining insurance thereon.
13. Security Interest.
Until all liabilities of Buyer have been paid in full, Buyer hereby grants Seller a security interest in any and all of Buyer's products, artwork, types, plates, dies, engravings, negatives and other preparatory items now or hereinafter possession of Seller as collateral for the payment for any and all liabilities of Buyer to Seller, including, but not limited to, attorney's fees incurred by Seller in regard of any such liabilities.
14. Warranty.
Seller warrants that the products delivered to Buyer under this Agreement will conform to any specifications set forth in the applicable purchase order or other similar document expressly agreed to by Seller. IF SAMPLES WERE SHOWN TO BUYER, SUCH SAMPLES WERE FOR GENERAL INFORMATIONAL PURPOSES ONLY AND SHALL NOT BE DEEMED A WARRANTY BY SAMPLE OR OTHERWISE HAVE ANY LEGAL EFFECT. THE WARRANTY IN THIS SECTION 10 IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR ANY WARRANTY OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS, AND ALL SUCH OTHER WARRANTIES ARE HEREBY EXPRESSLY DISCLAIMED.
15. Limitation of Liability.
Upon any breach of warranty or breach of contract, the Buyer's sole and exclusive remedy shall be to receive reimbursement of the price paid for defective product (or the portion thereof with respect to which damages are claimed) or, at Seller's option, Seller may elect to replace any defective products. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SELLER SHALL NOT BE LIABLE TO BUYER FOR ANY AMOUNT BEYOND THAT STATED IN THE PREVIOUS SENTENCE INCLUDING, WITHOUT LIMITATION, FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, COSTS OF ACQUIRING SUBSTITUTE PRODUCTS OR OTHER INTANGIBLE LOSSES. Claims for defective or damaged goods or for shortages shall be made by the Buyer in writing within thirty (30) days after receipt and are otherwise waived. If Seller cures such default or proceeds diligently to complete the cure within thirty (30) days after receipt of the Buyer's claim, Seller shall not be in violation of this Agreement.
16. Governing Law; Venue.
This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to the conflicts of law rules thereof. Buyer, for itself and its successors and assigns, irrevocably agrees that any suit, action or proceeding initiated by Buyer and arising out of or relating to any transaction subject to this Agreement must be instituted in the Circuit Court of Marathon County, Wisconsin. Buyer, for itself, generally and unconditionally accepts and irrevocably submits to the exclusive jurisdiction of the aforesaid courts.
17. Binding Agreement.
This Agreement is binding upon Buyer and Buyer's heirs, administrators, executors, successors, personal representatives and assigns and shall inure to the benefit of Seller and its successors and assigns and supersedes all other agreements, written or oral, regarding the subject matter hereof.
18. Return Policy.

All policies are subject to change without prior notification. Determination of defect/credit is at the sole discretion of Roastar. Purchaser has a 60-day window once their order ships to file a complaint. In most cases, the Purchaser will be requested to ship 10-15 samples of the defective products back to Roastar, and if possible, submit any digital photos/video documenting the product defect. All product in question should be kept by the Purchaser, with the exception of the 10-15 samples of defective product returned for testing. Roastar has the right to require the Purchaser to return all product in order to receive a refund, and should a reprint be deemed necessary by Roastar, the purchaser has 14 days to return defective product, or they are subject to pay for the reprinted order as well. Roastar reserves the right to ship any product back to the purchaser that has been deemed within our quality standards, after sorting/reworking. The Purchaser may not reject the shipment or any part of them returned by Roastar after quality review/determination. Turnaround and shipping for reprint orders will vary depending upon available production capacity and Roastar’s discretion.
In no event are goods to be returned to Roastar, including but not limited to Roastar’s warehouse, affiliate, manufacturer, agent, or otherwise, without in each instance obtaining Roastar’s prior written Permission. Roastar reserves the right to refuse any goods returned for credit without such prior written permission. If offer made by Roastar is not accepted in writing within 30 days, claim is null and void. Unless otherwise indicated by Roastar, all goods should be returned F.O.B. point of delivery and all risk of loss or damage in transit shall not pass to the Company until delivery thereto. The amount of credit given to the Purchaser by Roastar shall be fixed by Roastar in its sole discretion.
Blank stock items can be refunded within 14 days of the return authorization. These items include blank closures, blank bags & pouches, blank tin cans, blank paper tubes, and blank shipping cartons. If product is ordered in error, a 15% restocking fee will apply.
Customized pre-defined templated items are non-refundable and cannot be canceled once you have submitted the order. All sales of customized products are final.
